1. Acceptance of Terms

By accessing or using the mobile applications ("Apps") and website ("Site") operated by Bakterian LLC ("Bakterian," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

  • Harass, abuse, or harm other users
  • Transmit any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the operation of our services
  • Use automated systems (bots, scrapers) to access our services without permission
  • Reverse engineer, decompile, or disassemble any part of our Apps

6. User Content

You retain ownership of content you create or share through our Apps. By posting content, you grant Bakterian a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and providing our services.

You are solely responsible for the content you share and represent that you have all necessary rights to share it.

7. Intellectual Property

All intellectual property rights in our Apps, Site, and related materials (including but not limited to trademarks, logos, software, design, and content) are owned by or licensed to Bakterian LLC. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our prior written consent.

8. App Store Terms

Our Apps are distributed through third-party app stores (e.g., Apple App Store). Your use of our Apps is also subject to the terms and conditions of the applicable app store. In the event of a conflict between these Terms and the app store terms, the app store terms shall prevail to the extent of the conflict.

9. Fees and Payments

Some features of our Apps may require payment. All fees are as listed in the applicable app store. Payments are processed by the app store provider and are subject to their terms and refund policies.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAKTERIAN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bakterian LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of our services or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Termination

We may suspend or terminate your access to our services at any time, with or without cause, with or without notice. Upon termination, your right to use our services will immediately cease.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bakterian LLC regarding your use of our services.
